Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you," "your") and Profit AI ("Profit AI," "we," "us," or "our") governing your access to and use of the Profit AI iOS application, the website at profitai.co, and any related services we provide (together, the "Service").

By creating an account, downloading the app, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Profit AI uses artificial intelligence to help traders analyze charts, journal trades, monitor performance, and manage custom strategies. Core features include:

• AI chart analysis from screenshots or photos
• An AI trading mentor you can chat with about specific trades
• An automatic trade journal with calendar P&L view
• A 0–100 Trader Score that summarizes performance
• Custom strategy configuration applied to every analysis
• Sync with supported brokers and trading platforms (such as MetaTrader 5, cTrader, Interactive Brokers, and Binance) or import trades by CSV

Features and availability may change. We may add, modify, or discontinue features at any time, with advance notice where material changes affect paid users.

• You must be at least 13 years old (or the higher minimum age required in your jurisdiction) to use the Service. Users under 18 may only use the Service with the consent and supervision of a parent or legal guardian who agrees to these Terms on their behalf.
• Paid features and connecting a real broker or prop firm account require you to be the age of majority in your country (typically 18).
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• Accounts are personal to you. You may not share your account or transfer it without our prior written consent.
• You agree to provide accurate, current, and complete information during registration and to keep it up to date.

Some features of the Service require a paid subscription. Subscriptions are sold and processed by Apple through the App Store under Apple's terms.

• Pricing is shown in the App Store at the point of purchase. Apple may convert prices into your local currency and charge applicable taxes.
• Subscriptions automatically renew at the end of each billing period at the then-current price unless cancelled at least 24 hours before the end of the current period.
• You can cancel at any time in iOS Settings → Apple ID → Subscriptions → Profit AI. Cancellation takes effect at the end of the current paid period; you keep access until then.
• Apple is responsible for billing, payment, and refunds. Refund requests should be submitted through Apple at reportaproblem.apple.com.
• We may run promotional pricing, free trials, or limited-time offers, which may be subject to additional terms shown at sign-up.

If we offer a free trial, we will tell you the duration before you start. If you do not cancel before the trial ends, your subscription will begin and you will be charged the then-current price by Apple. Cancel any time in iOS Settings as described above.

Subject to these Terms and your payment of any applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Service on devices you own or control, for your personal, non-commercial use. All rights not expressly granted are reserved.

You retain ownership of the content you upload to or generate inside the Service, including chart screenshots, journal entries, notes, and strategy configurations (collectively, "Your Content").

You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display Your Content solely as necessary to operate, secure, and improve the Service and to provide it to you. This license ends when you delete Your Content or your account, except for residual copies retained for routine backups or as required by law.

You represent and warrant that you have all rights necessary to upload Your Content and that it does not infringe or violate any third-party rights or applicable law. You are solely responsible for Your Content.

We also derive aggregated and de-identified statistics from Your Content and from your use of the Service — for example how often a type of setup is traded, or how frequently traders act on an analysis — and may use them to operate, evaluate, and improve the Service, including the accuracy of its AI. These statistics cannot reasonably be used to identify you or to reconstruct your trading, and we do not publish, sell, or share an individual user's results. Deleting your account does not require us to unwind aggregates that no longer identify you; see the Privacy Policy for what deletion does remove.

The Service uses artificial intelligence to generate analyses, scores, summaries, and conversational responses ("AI Outputs"). AI Outputs are produced from probabilistic models and may be incomplete, inaccurate, biased, or out of date. They are not advice and should not be relied on as the sole basis for any trading decision.

You are responsible for evaluating AI Outputs before acting on them. We make no representation that AI Outputs will be accurate, profitable, or fit for any specific purpose. We may update, retrain, or replace the underlying models at any time.

Subject to your own representations about Your Content and third-party rights, you may use AI Outputs we generate for you for any lawful personal trading purpose. You may not use the Service or AI Outputs to develop, train, or improve a competing product, model, or dataset.

The Service can sync trade and account data from third-party brokers and prop firms. By connecting such an account, you authorize the relevant provider to share data with Profit AI and authorize Profit AI to receive and process that data on your behalf. We use this data only to provide the Service to you. The third party's terms continue to govern your relationship with them, including any account, leverage, and execution rules.

You agree that you will not, and will not attempt to:

• Use the Service in any way that violates applicable law or these Terms.
• Reverse engineer, decompile, or extract the source code or model weights of the Service, except where this is permitted by law and cannot be waived by contract.
• Bypass, disable, or interfere with security, rate-limiting, or access controls.
• Use automated means to scrape, copy, or harvest data from the Service.
• Upload content that is unlawful, infringing, harmful, harassing, defamatory, or that contains malware.
• Use the Service to generate signals you sell or distribute as financial advice or to operate a regulated financial activity for which you do not hold a licence.
• Resell, sublicense, or commercially exploit the Service or AI Outputs without our prior written consent.
• Use the Service in any way that infringes the intellectual property rights of any third party.

The Service, including the software, models, designs, logos, and the Profit AI® word mark and logo, is owned by Profit AI and its licensors and is protected by intellectual property and other laws. Profit AI is a registered trademark. Nothing in these Terms transfers any of our intellectual property rights to you.

If you send us suggestions, ideas, or other feedback, you grant us a perpetual, worldwide, royalty-free, sublicensable license to use it for any lawful purpose without obligation to you.

The Service may rely on or link to third-party services such as Apple, broker APIs, prop firm platforms, AI model providers, and analytics tools. We are not responsible for third-party services and your use of them is subject to their terms and privacy notices.

Profit AI is provided for informational and educational purposes only. We are not a registered investment adviser, broker-dealer, exchange, or financial institution in any jurisdiction. Nothing in the Service constitutes investment advice, a recommendation, or a solicitation to buy, sell, or hold any financial instrument.

Trading and investing involve substantial risk of loss and are not suitable for every investor. Past performance is not indicative of future results. You may lose all or more than your initial investment when using leverage. You are solely responsible for your trading decisions and should consult a qualified financial professional before making any investment decision.

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of AI Outputs. We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected.

To the maximum extent permitted by law, in no event will Profit AI, its affiliates, or its or their officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, business opportunity, or trading losses, arising from or related to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability arising from or relating to the Service in any 12-month period will not exceed the greater of (i) the amount you paid us for the Service during that period and (ii) USD 100. Some jurisdictions do not allow certain limitations of liability; in those jurisdictions our liability is limited to the smallest amount permitted by law.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Profit AI and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service in breach of these Terms or applicable law, (b) Your Content, or (c) your interactions with any third-party broker, prop firm, or service connected through the Service.

You may stop using the Service at any time and may delete your account in-app or by emailing support@profitai.co. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay fees, create risk or legal exposure for us, or if we discontinue the Service. Where possible we will give advance notice and an opportunity to cure. Sections that by their nature should survive termination (including IP, disclaimers, liability, indemnity, and dispute terms) will survive.

We may update these Terms from time to time. When we make material changes we will revise the "Last updated" date and notify you in-app or by email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

The following applies if you obtain the Service from the Apple App Store. These Terms are between you and Profit AI; Apple is not a party to them. Apple is, however, a third-party beneficiary of these Terms and may enforce them against you.

• License: Profit AI grants you a non-transferable license to use the app on any Apple-branded device that you own or control, in accordance with the Usage Rules of the App Store Terms of Service.
• Maintenance and support: Profit AI is solely responsible for providing any maintenance and support for the Service. Apple has no obligation to provide any support.
• Warranty: in the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the app.
• Product claims: Profit AI is responsible for addressing any claims by you or any third party relating to the app or your use of it, including product liability, regulatory compliance, and consumer protection claims.
• Intellectual property: in the event of a third-party claim that the app or your use of it infringes intellectual property rights, Profit AI, not Apple, is responsible for the investigation, defense, settlement, and discharge of any such claim.
• Compliance with laws: you represent and warrant that you are not located in a country subject to a US Government embargo and that you are not on any US Government list of prohibited or restricted parties.

If you are a consumer based in the European Union, the United Kingdom, or another jurisdiction with mandatory consumer protections, nothing in these Terms limits or excludes any rights you have under those laws.

Withdrawal right: EU consumers have a 14-day right to withdraw from a digital-content purchase under the Consumer Rights Directive. By starting to use the Service immediately at purchase, you consent to immediate performance and acknowledge that you lose the right of withdrawal once performance has begun, to the extent permitted by law.

Online dispute resolution: the European Commission provides an online dispute resolution platform at ec.europa.eu/consumers/odr. We are not obliged to participate in alternative dispute resolution before a consumer arbitration board.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to applicable mandatory consumer law in your country, the courts of New Castle County, Delaware, will have exclusive jurisdiction over any dispute arising out of or relating to the Service or these Terms, and you consent to personal jurisdiction in those courts. If you are a consumer in the EU, UK, Switzerland, or another jurisdiction whose law gives you the right to bring proceedings in your local courts, nothing in this section limits that right.

Class action waiver (US users): to the extent permitted by applicable law, you and Profit AI agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

• Entire agreement: these Terms, the Privacy Policy, and any policies referenced in them are the entire agreement between you and Profit AI regarding the Service and supersede prior agreements on the same subject.
• Severability: if any provision is held to be unenforceable, the remaining provisions remain in effect.
• No waiver: our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: you may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure: we are not liable for any delay or failure caused by events beyond our reasonable control, including network outages, cyber-attacks, or government action.
• Notices: we may give notices through the Service, by email, or by posting on the website. Notices to us must be sent to legal@profitaiapp.com.

For questions about these Terms, please contact legal@profitaiapp.com.
